PLATFORM TERMS OF USE

1. Introduction
- Welcome to Shop N Reap LLP (“Shop N Reap”, “we”, “our”, “us”).
- Shop N Reap operates a digital marketplace facilitation platform that enables transactions
between registered vendors and customers.
- By accessing or using our platform, you agree to these Platform Terms of Use.
2. Nature of Platform
Shop N Reap:
- Does not manufacture, sell, or deliver goods or services.
- Does not act as a buyer or seller in transactions.
- Facilitates vendor-customer transactions through structured digital systems.
All product and service obligations remain solely with the respective vendor.
3. User Eligibility
Users must:
- Be legally competent under Indian law.
- Provide accurate registration details.
- Use the platform for lawful purposes only.
4. Vendor Terms
Registered vendors agree that
- They are solely responsible for product quality and compliance.
- Commission shall be settled as per agreed percentage.
- Applicable taxes remain vendor responsibility.
- Vendors must comply with all applicable laws including GST,
consumer protection regulations, and local licensing requirements.
Commission settlement may occur through integrated banking systems.
5. Customer Terms
Customers agree that:
- Purchases are directly from vendors.
- Loyalty credits are promotional in nature.
- Credits are non-transferable and non-withdrawable.
6. Loyalty Program
Loyalty credits:
- Are issued based on eligible purchases.
- Have no cash value.
- May be modified or discontinued at platform discretion.
7. Payments
Payments are processed through bank-issued QR systems.
Shop N Reap:
- Does not store payment credentials.
- Is not liable for bank-related technical issues.
- Payment processing is handled by banks and regulated payment networks.
8. Limitation of Liability
Shop N Reap shall not be liable for:
- Vendor disputes.
- Product defects.
- Payment network disruptions.
- Indirect or consequential damages.
9. Termination
We reserve the right to suspend or terminate accounts for:

- Fraudulent activity.
- Misuse of loyalty system.
10. Governing Law
These Terms shall be governed by the laws of India.
Jurisdiction: Courts of Ernakulam, Kerala.
11. Platform Facilitation Clause
Shop N Reap acts solely as a digital facilitation platform enabling vendors and customers to
interact.
All payments are processed through third-party banking systems. Shop N Reap does not hold
customer funds or operate as a payment gateway or financial institution.
12. Commission Model
Vendors agree to pay a commission percentage on transactions processed through the platform.
A portion of the commission may be allocated as promotional cashback to customers while the
remaining portion is retained by Shop N Reap LLP as platform service revenue.
13. Wallet / Loyalty Usage
Loyalty credits are stored in the customer account wallet and may only be redeemed for
purchases with participating vendors.
Credits cannot be withdrawn, transferred, or converted to cash.
14. Fraud Protection
Shop N Reap reserves the right to reverse, suspend or cancel loyalty rewards in cases of
suspected fraud, abuse of the loyalty program, or suspicious transactions.
15. Data Protection
User information is handled according to the platform's Privacy Policy and applicable data
protection laws.
16. Website Reference
These Terms apply to the use of the Shop N Reap website and associated digital platform
services.
17. Disclaimer Section
Shop N Reap does not guarantee the quality, safety, or legality of products offered by vendors.
All transactions are solely between customers and vendors.
18. Dispute Resolution Clause
- Users agree to attempt resolution of disputes through direct communication with the
vendor before initiating legal action.
- Shop N Reap may assist in facilitating communication between vendors and customers
but is not responsible for dispute outcomes.
